This statement is made by Telnyx UK Limited and any other applicable affiliate (collectively, "Telnyx") in accordance with its obligations under s. 54 Modern Slavery Act 2015 (the "Modern Slavery Act"). It sets out the steps taken by Telnyx during the financial year ended 31 December 2022 to prevent modern slavery and human trafficking in its business and supply chain. For the purposes of this statement, any reference to "Telnyx" is a reference to each and every company within the Telnyx group of companies, as we uphold the values set out in this statement, regardless of geographic location.  We are committed to upholding the highest ethical standards, and complying with all relevant laws and regulations (including the Modern Slavery Act). We are also committed to ensuring transparency in how we conduct our business, and the prevention of modern slavery in our supply chain.

Telnyx's Organisation Structure

Telnyx UK Limited is an indirect subsidiary of Telnyx Inc. (the group parent company), which is organized in Delaware, United States of America, and has a presence in various markets around the world. In the UK, Telnyx operates through both Telnyx UK Limited and its other applicable operating subsidiaries, as applicable.  Telnyx offers various communication and connectivity platform products, including text, video, wireless, voice, SIP trunking and storage through our robust API.

Telnyx Policy in Relation to Slavery and Human Trafficking

As set forth in Telnyx's Code of Business Ethics and Conduct (the "Telnyx Code"), all Telnyx employees and team members are expected to not only observe and adhere to all applicable laws and regulations (including the Modern Slavery Act) while conducting business on Telnyx's behalf, but also to adhere to the highest standards of business ethics.  This includes ensuring quality, value, and integrity in our relationships with our customers and vendors.  Our employees and team members are expected to adhere to ensuring such supply-chain integrity  (e.g., the Telnyx Code and a whistleblower reporting option).  Telnyx strives to act in accordance with the Telnyx Code throughout the last financial year and will continue to do so.  The Telnyx Code has been in force during the last financial year and applies to all of the companies within the Telnyx group, including Telnyx UK Limited.  We have continued to act, and require each of our directors, officers and employees to act in accordance with the Telnyx Code throughout the last financial year.  We expect our suppliers to comply with all applicable laws, including the Modern Slavery Act. Should Telnyx become aware of any policy violations or issues related to slavery or human trafficking, we will consult with our legal team to ensure that appropriate measures are taken, which may include reporting this information to relevant authorities and terminating our relationship with any supplier conducting its business in such a manner.

Telnyx's Modern Slavery Risks, and the Steps to Be Taken to Address Those Risks

Each Telnyx entity, including Telnyx UK Limited, considers its modern slavery risk to be low due to the sector in which it operates.  As such, the nature of Telnyx's supply chain also presents a generally low modern slavery risk.  However, to the extent that a risk of modern slavery, or a potential modern slavery incident was identified within our business or supply chain, we would investigate and deal with that incident in accordance with the Telnyx Code and all applicable laws.  This statement was approved by the Board of Directors of Telnyx UK Limited on 29 September 2022.
