Supplemental Terms and Conditions – Reputation Services

These Supplemental Terms and Conditions ("Reputation Terms") supplement and form part of the Telnyx Terms and Conditions of Service (the "Main T&Cs"). Capitalised terms not defined herein have the meanings given in the Main T&Cs.

1. Service Description

(a) Reputation Scores. Telnyx retrieves spam-score and reputation labels for Customer telephone numbers from one or more third-party analytics providers. Providers may be added or removed at Telnyx's discretion.

(b) Remediation Requests. Where available, Telnyx will, at Customer's request, submit a dispute or remediation request to an analytics provider when a Customer number is mis-labelled. Submission is performed through the provider's publicly available remediation process.

(c) No Guaranteed Outcome. Analytics providers, not Telnyx, decide whether to remove or modify a label and the timeframe for doing so.

(d) Provider Scope. A remediation granted by one provider does not affect labels applied by other providers.

2. Customer Obligations

(a) Ownership of Numbers. Customer represents that it owns or is duly authorised to use each telephone number submitted for the Reputation Services.

(b) Compliance. Customer shall conduct all outbound calling in compliance with applicable law (including the TCPA, TSR and analogous state laws) and accepted industry anti-spam best practices.

(c) Accurate Information. Customer shall supply complete and accurate data with each remediation request and promptly notify Telnyx of any changes.

(d) Cool-Down & Rate Limits. Customer may not submit a remediation request for the same number more than once every fourteen (14) days. Telnyx may impose additional limits per Customer account to prevent abuse.

3. Service Limitations and Disclaimers

(a) No Warranty of Removal. Telnyx does not guarantee that a number will be relabelled, that an improved label will persist, or that answer rates will increase.

(b) Third-Party Process. Remediation follows each analytics provider's public or contractual process, which Telnyx does not control. Any referenced response times are estimates only.

(c) Future Relabelling. Even after successful remediation, analytics providers may re-apply spam labels based on subsequent call activity or other factors.

(d) Service Changes. Telnyx may change, suspend, or discontinue any part of the Reputation Services upon written notice.

4. Fees

(a) The Reputation Services are currently provided for the fees set forth in the Telnyx platform.

(b) Telnyx may introduce additional fees (including per-request or subscription fees) upon notice to Customer via email or the Telnyx dashboard.

5. Data Use and Privacy

(a) Customer authorises Telnyx to share telephone numbers, business name, contact details and any narrative supplied by Customer with analytics providers for remediation purposes.

(b) Analytics providers may retain submitted data in accordance with their own privacy policies. Telnyx is not responsible for a provider's handling of data once shared.

6. Limitation of Liability

(a) Telnyx's aggregate liability arising out of or related to the Reputation Services shall not exceed the greater of (i) one thousand U.S. dollars (USD $1,000) or (ii) the fees, if any, paid by Customer for the Reputation Services in the six (6) months preceding the event giving rise to the claim.

(b) The disclaimers and exclusions in the Main T&Cs apply in full.

7. Termination

Telnyx may terminate the Reputation Services at any time upon written notice to Customer. Sections 3, 5, 6 and any provision that by its nature should survive termination will continue in effect.

8. Order of Precedence

In the event of conflict between these Reputation Terms and the Main T&Cs, these Reputation Terms govern solely with respect to the Reputation Services.
